Yates Baptist Church Articles of Incorporation
Filed: July 22, 1996 Amended: July 27, 2000 and December 21, 2016 — ARTICLES OF INCORPORATION OF YATES BAPTIST CHURCH Pursuant to the provisions of the North Carolina Nonprofit Corporation Act, the undersigned incorporators hereby adopt the following Articles of Incorporation for the purpose of forming a nonprofit corporation. —
ARTICLE I — Name
The name of the corporation is Yates Baptist Church. —
ARTICLE II — Duration
The period of duration of the corporation shall be perpetual. —
ARTICLE III — Purpose
The purpose for which this corporation is organized is the advancement of the Christian faith through religious worship, education, fellowship, and service, and to carry out all other lawful activities permitted for religious organizations under the laws of the State of North Carolina. —
ARTICLE IV — Membership
The corporation shall have members. Membership shall consist of those persons who are received into fellowship in accordance with the church’s constitution and bylaws. —
ARTICLE V — Principal Office
The principal office of the corporation shall be located in Durham County, North Carolina, and the address shall be such as determined by the congregation of Yates Baptist Church. —
ARTICLE VI — Registered Agent and Office
The initial registered agent of the corporation is [unclear – possibly original agent’s name illegible on scan], and the initial registered office is located in Durham County, North Carolina. Changes to the registered agent or office shall be made by resolution of the congregation and filed with the Secretary of State in accordance with North Carolina law. —
ARTICLE VII — Board of Trustees
The affairs of the corporation shall be managed by its Board of Trustees, who shall hold title to property and execute legal instruments on behalf of Yates Baptist Church, as authorized by the church in business session. The trustees shall serve in accordance with terms defined by the church’s bylaws. —

ARTICLE IX — Dissolution
Upon the dissolution of the corporation, all assets remaining after payment of liabilities shall be distributed to organizations having similar religious purposes and exempt under Section 501(c)(3) of the Internal Revenue Code, as determined by the congregation of Yates Baptist Church at the time of dissolution. —
ARTICLE X — Amendments
These Articles of Incorporation may be amended in accordance with the procedures outlined in the North Carolina Nonprofit Corporation Act, provided such amendments are first approved by a majority vote of the members of Yates Baptist Church present and voting in a duly called business session. — IN WITNESS WHEREOF, the undersigned incorporators have executed these Articles of Incorporation this 22nd day of July, 1996. — Filed with the North Carolina Secretary of State, July 22, 1996 —
